SPTM Media Terms and Conditions

1. Acceptance of Terms
By engaging our services, the client agrees to be legally bound by the terms and conditions outlined herein. These terms apply to all services provided by SPTM Media, including but not limited to social media management, digital marketing, content creation, and advertising.

2. Services
Our agency provides a range of services, including:
Social Media Strategy and Management
Content Creation (Graphics, Video, Text)
Paid Advertising (Google Ads, Meta Ads, etc.)
SEO & Website Optimization
Influencer/Brand Collaboration
Analytics & Reporting
Each service will be clearly outlined in the proposal or contract shared with the client.

3. Client Responsibilities
The client agrees to:
Provide accurate and complete information necessary for service execution.
Grant access to relevant social media accounts, website backend, and advertising platforms.
Approve or provide content in a timely manner.
Adhere to agreed-upon timelines and deadlines.

4. Payment Terms
All services are subject to a signed agreement and upfront payment or deposit as specified.
Invoices are payable within 7 days of issue date.
Late payments may incur a 10% penalty per week of delay.
Monthly retainers are billed at the start of each month.

5. Cancellation & Refund Policy
Clients may terminate services with a written notice 15 days in advance.
No refunds will be issued for services already rendered.
For prepaid packages, partial refunds may be considered at the agency’s discretion.

6. Intellectual Property
All original content created by the agency (designs, captions, videos, etc.) remains the property of the agency until full payment is received.
Upon full payment, the client owns rights to the deliverables, excluding any licensed third-party materials.

7. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information, login credentials, campaign strategies, and client data during and after the term of engagement.

8. Performance & Results
While we strive for optimal results, we do not guarantee specific metrics such as follower growth, sales, or engagement due to factors beyond our control including platform algorithms, market changes, or audience behavior.

9. Limitation of Liability
The agency will not be liable for:
Any loss or damage resulting from the misuse of platforms by the client.
Platform downtime or policy changes by third-party services (Meta, Google, etc.).
Indirect or consequential losses.

10. Termination
The agency reserves the right to terminate the contract for reasons including breach of terms, non-payment, or misuse of services.

11. Amendments
SPTM Media reserves the right to update these Terms and Conditions at any time. Updated terms will be communicated in writing.

12. Governing Law
These terms are governed by the laws of Lucknow, and any disputes shall be subject to the exclusive jurisdiction of the courts located therein.
